Terms of Service

1. Agreement to Terms
By accessing or using any services provided by dotforge Ltd ("dotforge", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
dotforge Ltd is a company registered in England and Wales, with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom.
2. Services
dotforge provides software design, development, and consultancy services. The specific scope, deliverables, timelines, and fees for any engagement are agreed upon separately in writing between dotforge and the client prior to work commencing.
We reserve the right to refuse to provide services to any party at our sole discretion.
3. Intellectual Property
Unless otherwise agreed in writing, upon receipt of full payment, dotforge assigns to the client all intellectual property rights in the deliverables created specifically for that client under an engagement.
dotforge retains ownership of all pre-existing tools, frameworks, libraries, and proprietary methodologies used in delivering services. We may reuse general knowledge, skills, and experience gained during any engagement.
4. Payment
Payment terms are agreed in the relevant statement of work or project agreement. Invoices are due within 30 days of issue unless otherwise specified. Late payments may incur statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Confidentiality
Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the services. This obligation does not apply to information that is publicly available, already known, or required to be disclosed by law.
6. Limitation of Liability
To the maximum extent permitted by applicable law, dotforge's total liability to you for any loss or damage arising in connection with our services shall not exceed the total fees paid by you to dotforge in the three months preceding the claim.
dotforge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
7. Warranties
dotforge warrants that services will be performed with reasonable skill and care. All other warranties, whether express or implied, are excluded to the fullest extent permitted by law.
8. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant project agreement. In the event of termination, the client shall pay for all work completed up to the date of termination.
9. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to These Terms
We may update these terms from time to time. We will notify clients of material changes by email. Continued use of our services after such changes constitutes acceptance of the updated terms.
